1. Agreement

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and communications operated by ArborOne, the trade name under which Bowen Falls Capital, LLC, a Delaware limited liability company ("ArborOne," "we," "us," or "our"), operates a portfolio of independent tree care brands. By using the sites or services, or by requesting or receiving work from a tree care company operating on the ArborOne platform, you agree to these Terms and to our Privacy Policy.

If you do not agree, do not use the sites or services.

2. Services

ArborOne operates the scheduling, estimate, and communications platform used by the independent tree care companies in its portfolio. Tree care work itself — climbing, pruning, removal, stump grinding, plant health care, storm response, and related services — is performed by the tree care company serving your property, under its own state license where applicable. That company is identified on its own website and in the written estimate you receive.

3. Estimates, Scheduling, and Work Authorization

• Estimates are based on information you provide and a site assessment. Conditions discovered on site (hidden hazards, access restrictions, storm-changed scope) may require an adjusted estimate before work proceeds.
• Appointments are scheduled based on mutual availability and may be rescheduled for weather, crew safety, or unforeseen conditions.
• Work begins only after authorization from the property owner or an authorized decision-maker. You represent that you have the authority to authorize work on the property.
• Payment terms, warranty (if any), and cancellation policies are set by the tree care company in its written estimate or service agreement.

4. Text Messaging (SMS)

By providing your mobile number, you agree to receive service-related text messages (confirmations, reminders, on-the-way alerts, estimate-ready notifications, scheduling follow-ups) from the tree care company serving you. Message and data rates may apply. Reply STOP to opt out; reply HELP for help. Full SMS disclosures are in our Privacy Policy.

5. Acceptable Use

You agree not to:

• Use the sites or services for unlawful purposes or to infringe others' rights.
• Interfere with the operation of the sites, attempt to access areas not authorized to you, or scrape or copy content without permission.
• Misrepresent your identity, property authority, or intent to contract for services.

We may suspend or terminate access for conduct we reasonably believe violates these Terms.

6. Intellectual Property

The sites, including their content, logos, trade names, trademarks, and software, are owned by ArborOne, the applicable tree care company, or their licensors and are protected by law. You may not copy, modify, distribute, or create derivative works without our written permission, except as permitted for your personal, non-commercial use of the services.

7. Warranties

Any warranty on tree care work is provided solely by the tree care company performing the work, under the terms stated in its estimate or service agreement. ArborOne itself does not warrant tree care outcomes.

EXCEPT AS EXPRESSLY STATED, THE SITES AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL IMPLIED WARRANTIES TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER ARBORONE NOR ANY TREE CARE COMPANY OPERATING ON THE ARBORONE PLATFORM WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITES OR SERVICES. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THE SITES OR THE PLATFORM (AS DISTINCT FROM WORK PERFORMED ON YOUR PROPERTY) WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Indemnification

You agree to indemnify and hold ArborOne, the tree care company serving you, and their respective officers, members, employees, and agents harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your misuse of the sites or services, or your violation of any law or third-party right.

10. Third-Party Links and Services

The sites may link to third-party websites or use third-party services (for example, SMS delivery, payment processing). We are not responsible for third-party content, policies, or practices.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Work performed by a tree care company on a property is additionally subject to the laws of the state in which the property is located.

Any dispute arising out of or relating to these Terms or the sites will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction and venue there, unless binding arbitration is agreed between you and the applicable tree care company in its separate service agreement.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we'll revise the "Last Updated" date above. Continued use of the sites after changes means you accept the revised Terms.
